Ahmad Rizal Abdul Aziz

Ahmad Rizal Abdul Aziz… a lawyer practicing since 1995, has dealt in litigation and conveyancing matters including inter alia, banking, family law, probate and administration, company law, law on tort, arbitration proceedings involving construction claims, employee and employer disputes in industrial court and general litigation including defamation suits, trespass to land and breach of contract.

He graduated with an LLB Bachelor of Laws at University of Sheffield, London and obtained a Degree in Utter Barrister at Lincoln’s Inn, London. He was admitted as an Advocate & Solicitor of the High Court of Malaya in 1995. Currently, Ahmad Rizal is in the process of obtaining his Syariah practicing license in the Federal Territory of Kuala Lumpur.

He was employed by a legal firm in Kuala Lumpur as a Legal Assistant in charge of the litigation department from 1995 till 1999. In February 2000, he joined another legal firm in Kelana Jaya as Legal Assistant and subsequently in February 2002, he was promoted to a Partner of the same firm until 2007 when he joined another well established firm in Taman Tun Dr Ismail as partner until 2011.

He has vast experience in various sectors of the construction industry especially in building construction disputes including in arbitration proceedings, drafting and vetting of loan documents including cross border loans for EXIM Bank, Maybank and Affin Bank and a variety of commercial and corporate agreements for numerous individual and corporate clients and also exposure with the Foreign Investment Committee with regard to transactions involving foreign interests. Recently, he has also been involved in representing clients in the oil & gas industry.

He was also involved in the launching and the preparation and completion of the Sale and Purchase Agreements for the Taman Sutera, Kajang development being the lawyer appointed by the developer for the said Project.

He also has extensive experience representing clients in the Civil and Criminal Courts. He has also advised a Malaysian company involved in litigation matters overseas and attended hearings there as the client’s advisor.

He has also sat as a member of the Investigating Tribunal for the Advocates & Solicitors Disciplinary Board.

In the years as a practicing lawyer he has been involved in the following matters:-

1. Preparation of memorandum of understanding and joint venture agreements between local companies and also between local and foreign companies involving incorporated and unincorporated joint ventures including, inter alia: Joint Venture between a local company and an Indian Company for Water Supply and Flourosis Mitigation Project in India; Joint Venture between 2 local companies to propose for, bid, undertake and complete the Proposed Pipe Rejuvenation & New Installation Work Programme In SBO & SKO Region Project for Petronas; and Liaising with counsel in China to set up a China subsidiary for a local company.
2. Preparation and completion of various agreements for the sale and purchase of shares either between individuals, companies or both including providing legal advice on all relevant issues arising under the Companies Act 1965 including, inter alia: the acquisition of majority share of a local company by a government linked company including all related agreements; abd the acquisition of a subsidiary of a oil & gas multinational company by a local company.
3. Preparation and completion of various agreements including Consultancy Agreements, Tenancy Agreements, Credit Agreements, Management Agreement and others;
4. Representing the banks in loan transactions including drafting all appropriate security documents and providing legal advice on relevant issues including, inter alia: the USD 1.65 million Term Loan Facility granted by a local bank for an agriculture project in Vietnam; the restructuring of the RM37 million Trade Financing Facility granted by a local bank to a public listed company; the RM1 million Revolving Post-Shipment Supplier Credit Facility; the RM1.65 million Term Loan Facility; and the RM10.7 million trade financing facilities, including providing legal advice to banks on any issues which arise from or under the services provided by the said banks.
5. Preparation of Sale and Purchase Agreements including the loan documentation for the financing of the said purchase and tenancy/lease agreements including, inter alia: the allocated lots of double storey terrace houses, apartments and low cost flats at numerous mixed development projects; the sale and purchase of a parcel of agricultural land for RM1.4 million; the sale and purchase of enterprise land in Cyberjaya for RM6.4 million; the sale and purchase of a factory lot for RM990,000-00; the sale and purchase of land in Kota Tinggi, Johor for RM2,447,000-00; and the tenancy of a plot of land in Puncak Alam, Selangor by a leading fast food restaurant chain.
6. Attending and defending claims in civil and criminal matters, including, inter alia: defending a charge under s.17 of the Occupational Safety and Health Act 1994; and attending to and advising to a contractual dispute involving a local company and a Saudi Arabia company before the Council of Grievances, Jeddah-Makkah.

Sara Idylla Isbah who was called to the Bar in November 2007 is by no means a green horn when it comes to litigation practice. She has had legal exposure ever since her student years where she has worked with senior lawyers during her study semester breaks.

She has undergone her LLB Hons program (formerly known as the Advance Diploma In Law (ADIL) program) at University Teknologi MARA (UiTM) in 2006 whereby the students worked in a law office simulated environment and were provided with a practitioners office-like settings and are required to work in mock law firms. Sara Idylla was the Senior Partner of Messrs Idylla & Partners of LLB Hons Group A, batch 2006. Her interest has always been litigation.

Upon graduating with LLB Hons from UiTM, Sara Idylla has undergone her Pupilage training in 2007 under the supervision of her Pupil Master, Haji Mohamed Haniff Khatri Abdulla of Messrs Haniff Khatri. Even back then as a Pupil, she has acquired extensive practical experience in both civil and criminal litigation which mainly involve defence work. After conclusion of her Pupilage training, she was retained as a Legal Assistant at Messrs Haniff Khatri until November 2010.

Determined to expand her knowledge and experience, Sara Idylla joined Messrs Rozali Ismail & Co. in 2011 as a Legal Assistant in charge of the litigation department. She has handled various civil, corporate and commercial litigation matters for numerous individual and corporate clients, which mainly involve Plaintiff’s work this time.

Finally in September 2011, Sara Idylla took up the challenge of setting her own practice together with Ahmad Rizal Abdul Aziz under the name and style Ahmad Rizal, Sara Idylla & Co.

Throughout her experience as a Practitioner, Sara Idylla has been involved in the following matters:

1. Her main exposure involves general litigation works which includes personal injury cases, defense in banking suits, bankruptcy, opposing winding up petitions, injunctions, commercial litigation, constitutional issues, defamation, company laws, arbitration and land acquisition matters.
2. Amongst her notable experiences in civil litigation includes the following reported cases: Working with and assisting a team of counsels in a case involving the dissolution of marriage between a non-muslim wife with her muslim-converted husband, which also involved the issue of jurisdiction between the Syariah and Civil Courts. [see: Subashini Rajasingam v. Saravanan Thangathoray & Other Appeals [2008] 2 CLJ 1]; conducted full trial in an industrial relations dispute involving a claim for unlawful dismissal at the Kuala Lumpur Industrial Court [see: Marsidi Adnan v. Pusat Pemeriksaan Kenderaan Berkomputer Sdn Bhd (Puspakom) [2010] 2 LNS 0505]; co-counsel in conducting a full trial pertaining to a company and corporate dispute involving fraudulent transfer of shares at the Muar High Court [see: Ham Ah Lui lwn Ham Tham Moo @ Ham Wee Boo dan satu lagi dan guaman lain [2010] 7 MLJ 809]; Junior Counsel in an Arbitration proceeding pertaining to a claim under construction contract at the Kuala Lumpur Regional Center for Arbitration; resisting and opposing a leave for appeal at the Federal Court in a contract and land dispute matters; and attending to and advising various corporations and enterprises in litigation matters involving debt recovery, defamation and industrial relations disputes.
3. In respect of criminal litigation, Sara Idylla has gained exposure in various defence work involving rape, murder, drugs, corruption offences and occupational safety and health offences which includes: working with and assisting a team of Counsels in the high profile rape and murder case [see: Ahmad Najib bin Aris v. Public Prosecutor [2009] 2 MLJ 613.]; working with and assisting a team of Counsels in the murder case; co-counsel in conducting a full trial in the case which involved an alleged offence under Section 17 of the Occupational Safety and Health Act 1994 whereby under her joint forces with Ahmad Rizal Abdul Aziz in conducting the trial, the accused company was acquitted and discharged from the alleged offence; Junior counsel in a case involving corruption offence at the Shah Alam Sessions Court; and conducted application for bail, taking plea and mitigation in various other cases handled by Messrs Haniff Khatri.

Well known for her work ethics in terms of managing, organizing and systematizing in an efficient and effective manner, Sara Idylla Isbah has been given the opportunity to head the litigation department in both Messrs Haniff Khatri and Messrs Rozali Ismail & Co. whereby she has conducted and supervised the management of case files and independently handled office administration during the absence and/or upon instruction of superior. She has also played vital roles in assisting with the training and supervising of attachment students and Pupils.

Sara Idylla Isbah is currently in the midst of procuring her Syariah practicing license in the Federal Territory of Kuala Lumpur and seeks to expand her expertise in various other legal fields including Syariah .
